Terms and Conditions of Sales & Rentals
All orders are accepted and processed in accordance with the following terms and conditions.
Terms and Conditions
Payment terms are net 30 days.
Delivery and Shipping: Ex Works (EXW) – a specified Ace Instruments’ facility. Ace Instruments is not responsible for any damages to goods that were delivered in good condition to the carrier. Any shortages or errors in shipping must be reported to Ace Instruments within 5 days.
Returns: product, parts or equipment returns require written authorization within 90 days of delivery. Returns must be unused and in original packaging, complete and accompanied by original purchase documentation and are subject to manufacturer inspection. Buyer or buyer’s representative is responsible for return shipping charges, tracking and insurance. Restocking fees may apply. Please contact an Ace Instruments Ltd representative for details.
Cancellation of an accepted order by Ace Instruments is by written authorization only. Restocking charges may apply.
Quotes
Quotes are valid for ten (10) days from the date issued unless otherwise specified in writing. All pricing is quoted in Canadian dollars and is subject to product availability at the time of order.
This quotation is based on Ace Instruments Ltd.’s interpretation of the specifications, drawings, bill of materials, and other information provided at the time of quotation. The purchaser is responsible for reviewing and confirming that the quoted equipment, materials, quantities, and specifications meet their requirements prior to placing an order. Any changes to the scope of work, specifications, quantities, bill of materials, or purchaser requirements after quotation may result in revised pricing, delivery schedules, or both.
Unless specifically stated otherwise, all prices are exclusive of applicable taxes, freight charges, duties, tariffs, brokerage fees, and other government-imposed charges. Any such costs will be charged to the purchaser in addition to the quoted price.
Quoted pricing is based on supplier costs, exchange rates, freight rates, duties, tariffs, and market conditions in effect on the date of quotation. For orders requiring shipment more than thirty (30) days after order placement, Ace Instruments Ltd. reserves the right to adjust pricing to reflect increases in material costs, supplier pricing, freight charges, duties, tariffs, exchange rates, or other costs incurred prior to shipment. Orders with purchaser-requested delivery dates extending more than sixty (60) days from order placement may require a deposit and are subject to final pricing confirmation prior to shipment.
Quoted delivery dates are estimates only and are subject to supplier lead times, transportation availability, and market conditions. Ace Instruments Ltd. is not liable for delays caused by suppliers, carriers, manufacturers, government actions, customs delays, trade restrictions, or other circumstances beyond its reasonable control.
Ace Instruments Ltd. reserves the right to suspend, modify, delay, or cancel its obligations under any quotation, order, or contract where performance is prevented or materially affected by events beyond its reasonable control, including but not limited to fire, flood, severe weather, labour disputes, transportation disruptions, supplier shortages, governmental actions, tariffs, trade restrictions, pandemics, or other force majeure events. Ace Instruments Ltd. shall not be liable for any loss, damage, or delay resulting from such events.
Placement of an order constitutes acceptance of these Terms and Conditions and any additional terms published by Ace Instruments Ltd. from time to time.
Limited Warranty
Warranties are as per manufacturer’s specifications.
Ace Instruments warrants to the Purchaser defects in workmanship for a period of 12 months from the date on which the work occurred. Defects in material are warranted as per the manufactures’ specifications. If defects occur, Ace Instruments shall, at it’s option, assist the Purchaser with warranty claims to the manufacturer, which may result in (i) repair to the Product at no charge, using new or refurbished replacement parts, (ii) exchange of the Product with a Product that is new or which has been manufactured from new or serviceable used parts that are at least functionally equivalent to the original Product or (iii) refund the purchase price of the product at which time the old Product will become the property of Ace Instruments.
Ace Instruments shall not be liable to compensate or indemnify the Purchaser, end user or any other party against any actions, claims, liabilities, injury, loss, loss of use, loss of business, damages, indirect or consequential damages, demands, penalties, fines, expenses (including legal expenses), obligations and causes of action of any kind arising wholly or partly from negligence or omission of the user or the misuse, incorrect application, unsafe application, incorrect storage and handling, incorrect installation, lack of maintenance, improper maintenance or improper operation of products furnished by Ace Instruments.
Rentals
The lessor is responsible for any damages to equipment while in their care, custody or control, and agrees to hold the lessee harmless from all actions that may arise from the use or misuse of the equipment. Equipment Lease Terms and Conditions are available from Ace Instruments Ltd. upon request.
